These Terms and Conditions ("Terms") are entered into by and between you ("you," "your," or "User") and Kate Panfile LLC ("Kate Panfile," "Company," "we," "us," or "our").
These Terms govern your access to and use of katepanfile.com, related websites, landing pages, applications, digital tools, online communities, courses, memberships, educational programs, trainings, consulting services, downloadable resources, artificial-intelligence-assisted tools, and other products or services offered by Kate Panfile LLC (collectively, the "Services").
They also apply, where applicable, to products or Services sold or delivered through third-party marketplaces or platforms, including Etsy, Teachers Pay Teachers, social-media platforms, course platforms, payment processors, and other third-party providers.
By accessing the Services, creating an account, purchasing or downloading a product, enrolling in a program, joining a community, or otherwise using our Services, you agree to these Terms and our Privacy Policy.
If you do not agree with these Terms, do not use the Services.
1. Eligibility
The Services are intended primarily for adults age 18 and older.
Certain educational materials may concern children or may be used by adults supporting children, but this does not mean that our websites, communities, applications, or Services are intended for independent use by children.
Parents, guardians, educators, clinicians, and other adults are responsible for determining whether and how materials are appropriately used with children.
2. Educational and Informational Purposes Only
Kate Panfile LLC provides educational information, resources, training, tools, consulting, professional development, and other educational Services.
Content may address topics including:
autism;
ADHD;
neurodiversity;
executive functioning;
learning differences and disabilities;
special education;
IEPs and Section 504 Plans;
disability-related educational supports;
inclusion;
assessment and evaluation concepts;
educational programming;
parent participation and advocacy;
professional practice;
neuro-affirming approaches; and
related educational topics.
Although Kate Panfile has professional education, experience, certificates, training, and expertise in these areas, information provided through the Services is educational and informational in nature unless a separate written professional-services agreement expressly states otherwise.
3. No Legal Advice or Attorney-Client Relationship
Some of our educational content discusses special-education laws, regulations, parental rights, procedures, IDEA, Section 504, the ADA, New Jersey special-education requirements, or other legal frameworks.
Kate Panfile LLC is not a law firm, and Kate Panfile is not acting as your attorney.
Nothing provided through our websites, social media, podcast, courses, resources, communities, applications, downloads, workshops, trainings, consultations, or other Services constitutes legal advice.
No attorney-client relationship is created by your purchase, participation, communication, download, or use of the Services.
Educational explanations of laws, regulations, procedural rights, special-education processes, or advocacy considerations should not be treated as individualized legal advice.
Laws and regulations may change and their application depends on individual circumstances.
For advice regarding your legal rights or a particular dispute, you should consult a qualified attorney licensed in the appropriate jurisdiction.
4. No Medical, Psychological, Therapeutic, or Diagnostic Services
Unless expressly stated in a separate written agreement, the Services do not constitute medical care, psychological treatment, psychotherapy, occupational therapy, speech-language therapy, diagnosis, or other healthcare services.
Information concerning autism, ADHD, anxiety, sensory processing, disability, behavior, communication, learning, or other areas is provided for educational purposes.
No doctor-patient, psychologist-patient, therapist-client, or similar healthcare relationship is created through use of the Services.
Do not delay or disregard professional medical, psychological, therapeutic, or emergency care because of information obtained through our Services.
5. No Special-Education Eligibility, Placement, or IEP Determination
Our Services may help parents and professionals better understand educational needs, prepare questions, organize information, identify areas for discussion, or develop language to bring to educational teams.
They do not determine:
special-education eligibility;
disability classification;
educational placement;
services;
accommodations;
modifications;
goals;
related services;
compensatory education;
entitlement to reimbursement;
whether FAPE has been provided;
whether a school district has complied with law; or
the outcome of any IEP, Section 504, mediation, complaint, due-process, administrative, or court proceeding.
Those determinations depend upon applicable law, individualized evidence, and the appropriate decision-making body.
6. Professional Judgment and Individualization
No resource can account for every student, family, classroom, school district, professional role, disability, educational environment, or factual circumstance.
Users remain responsible for exercising their own judgment.
Educators and other professionals remain responsible for complying with their professional obligations, employer policies, ethical requirements, and applicable laws.
Parents and caregivers remain responsible for determining what information or strategies are appropriate for their child.
A template, checklist, example, script, AI-generated response, training, recommendation, or educational resource should never replace individualized professional judgment.
7. No Guarantee of Outcomes
We do not guarantee any particular educational, professional, financial, legal, behavioral, developmental, business, employment, IEP, placement, eligibility, advocacy, or other outcome.
Examples, testimonials, case discussions, hypothetical situations, and previous outcomes are illustrative only.
Your results depend upon numerous circumstances beyond our control.
Purchasing a resource does not guarantee that a school district, employer, educational team, clinician, government agency, hearing officer, court, parent, student, client, or other person will accept, agree with, or act upon the information.
8. Intellectual Property Ownership
Unless expressly stated otherwise, all original content created or provided by Kate Panfile LLC is owned by or licensed to Kate Panfile LLC and protected by applicable copyright, trademark, and intellectual-property laws.
This includes, without limitation:

guides;
worksheets;
checklists;
templates;
forms;
frameworks;
graphics;
illustrations;
presentations;
slide decks;
trainings;
course lessons;
videos;
audio recordings;
podcast materials;
transcripts;
written copy;
workbooks;
assessments and questionnaires created by us;
digital tools;
prompts;
scripts;
language banks;
decision-making tools;
professional-development materials;
community resources;
email content;
website content;
proprietary methodologies; and
other original materials.
Purchasing, downloading, accessing, or receiving Content does not transfer ownership of that Content to you.
9. Your Limited License
Unless a product expressly states otherwise, your purchase or lawful download gives you a limited, revocable, non-exclusive, non-transferable license to use the material for the use identified with that product.
The license does not include the right to resell, redistribute, publish, sublicense, reproduce for others, upload to a shared resource repository, or commercially exploit the Content.
Buying a resource is buying permission to use it within the applicable license. It is not buying the copyright.
10. Parent and Caregiver Resources
Resources sold or provided specifically to individual parents or caregivers are generally licensed for the purchaser's personal use in supporting their own child or family unless otherwise stated.
Parents may generally print or share completed materials with members of their child's educational or clinical team when that sharing is part of the resource's intended purpose.
For example, a parent purchasing a resource designed to create information to share with their child's teacher may share the completed parent-created output with that teacher.
That does not authorize distribution of the original blank resource, instructional materials, proprietary prompts, course content, or templates to other parents or professionals.
11. Educator and Professional Resources
Unless a different license is expressly provided, resources purchased by an educator or professional are licensed to one individual user.
A purchaser may use the resource in their own professional practice consistent with its intended purpose.
A single-user purchase does not authorize:
school-wide distribution;
district-wide distribution;
department-wide distribution;
staff-wide distribution;
sharing through a shared Google Drive or similar repository;
uploading to an internal resource library;
forwarding files to colleagues;
posting files in a professional group;
copying materials for unrelated staff members; or
allowing multiple professionals to use a single-user purchase.
Where available, schools, districts, clinics, agencies, organizations, or teams requiring broader use should purchase the appropriate multi-user, school, district, organizational, or commercial license.
12. Teachers Pay Teachers Purchases
Products purchased through Teachers Pay Teachers are also subject to the applicable terms, licenses, and policies of that marketplace.
Unless the applicable product listing or license states otherwise, Kate Panfile LLC resources purchased through Teachers Pay Teachers are intended for use by the individual purchaser.
Purchasing through Teachers Pay Teachers does not independently grant school-wide or district-wide rights.
13. Etsy Purchases
Products purchased through Etsy are also subject to applicable Etsy marketplace terms and policies.
Digital products purchased through Etsy are licensed rather than sold with respect to the underlying intellectual property.
Unless expressly authorized, Etsy purchases may not be copied, redistributed, resold, sublicensed, or uploaded elsewhere for others to access.
14. Editable Resources
Some resources may intentionally permit customization.
"Editable" does not mean unrestricted.
Where we provide an editable template, you may modify the portions intended for customization for your authorized personal or professional use.
Unless expressly licensed otherwise, you may not take an editable resource, modify its appearance or wording, remove our copyright or branding, and then:
sell it;
distribute it;
offer it as a free resource;
incorporate it into your own paid product;
claim authorship;
upload it to Teachers Pay Teachers, Etsy, another marketplace, or a resource repository; or
use it to create a substantially derivative competing product.
15. Free Resources
Free resources remain protected intellectual property.
The fact that a resource was provided without payment does not place it in the public domain.
Unless expressly stated otherwise, free downloads are subject to the same restrictions against unauthorized copying, redistribution, resale, modification for redistribution, or commercial exploitation.
Please direct others to the original download location rather than distributing copies of the file.
16. Courses, Trainings, Workshops, and Programs
Access to paid courses, trainings, workshops, mentorships, professional-development programs, and related Content is limited to the purchaser or properly registered participant unless a group license has been purchased.
You may not:
share login credentials;
record paid Content without permission;
redistribute recordings;
copy course materials for others;
share proprietary handouts;
reproduce trainings;
teach our program as your own;
sell materials derived substantially from our proprietary Content; or
purchase one enrollment for use by multiple people unless expressly permitted.
17. School and District Purchases
Where a school district, school, organization, clinic, or other entity purchases Services, the applicable scope of use will be determined by the product description, invoice, purchase order, proposal, contract, or licensing agreement.
Purchase by a school district does not automatically grant unlimited district-wide reproduction rights unless those rights are expressly included.
Kate Panfile LLC may offer separate individual, building, school, team, district, organizational, or enterprise licensing.
18. Prohibition on Resale and Commercial Exploitation
Unless Kate Panfile LLC provides prior written authorization, you may not use our Content to create products or services that reproduce, substantially duplicate, package, redistribute, or commercially exploit our proprietary materials.
You may apply concepts learned through our educational Content in your own professional practice.
That is different from copying our expression, frameworks, worksheets, templates, scripts, graphics, training materials, or other proprietary Content and presenting them as your own.
19. Artificial Intelligence and Our Intellectual Property
Unless we expressly authorize it, you may not upload, submit, copy, scrape, transmit, or provide substantial portions of our proprietary paid Content to generative artificial intelligence systems for purposes including:
reproducing the resource;
creating substantially similar resources;
extracting proprietary frameworks;
generating derivative products;
building competing products;
training or fine-tuning models;
creating datasets or knowledge bases;
redistributing our Content; or
circumventing the licensing restrictions in these Terms.
This includes proprietary course materials, workbooks, paid templates, trainings, recordings, scripts, frameworks, language banks, and similar protected Content.
However, this restriction is not intended to prohibit ordinary personal accessibility uses or the use of AI with content you yourself created using one of our tools, where doing so does not disclose or reproduce our proprietary materials.
20. AI-Assisted Tools Provided by Kate Panfile LLC
Certain Services may incorporate artificial intelligence.
AI-generated information can be inaccurate, incomplete, inconsistent, or inappropriate.
You remain responsible for reviewing, editing, and deciding whether to use AI-generated output.
AI-generated output is not:
a diagnosis;
an evaluation;
an IEP;
legal advice;
medical advice;
psychological advice;
a professional opinion;
a guarantee of educational appropriateness; or
a substitute for individualized professional judgment.
Additional privacy information concerning particular AI tools, including the Meet My Child Snapshot Builder, is contained in our Privacy Policy.
21. User-Provided Content
Certain Services may permit you to provide comments, questions, text, documents, images, feedback, or other materials ("User Content").
You retain ownership of your original User Content.
You represent that you have the legal right to submit it and that doing so does not violate another person's copyright, privacy, confidentiality, publicity, contractual, or other rights.
Do not upload confidential student records, copyrighted evaluation reports, school documents, clinical materials, photographs, recordings, or information belonging to another person unless you have the authority to do so and the particular Service permits that submission.
22. Confidential Student and Client Information
Educators and professionals are responsible for complying with FERPA, professional confidentiality requirements, employer policies, ethical standards, and other obligations applicable to information in their possession.
Do not submit personally identifiable student or client information to our general resources, communities, AI tools, workshops, or Services unless expressly authorized and appropriate safeguards have been established.
Where hypothetical discussion is appropriate, users should remove identifying information.
23. Communities and Group Programs
We may operate communities, memberships, mentorship groups, cohort programs, workshops, or other interactive spaces.
Participants agree to communicate respectfully and professionally.
You may not use these spaces to:
harass, threaten, bully, demean, or discriminate against others;
disclose confidential student, client, patient, family, or third-party information;
share another participant's posts outside the community without permission;
screenshot private conversations for external distribution without authorization;
impersonate another person;
post unlawful, defamatory, obscene, or infringing Content;
scrape or systematically collect member information;
spam members;
solicit members for unrelated commercial purposes without authorization; or
interfere with operation of the community.
We may remove Content or suspend or terminate participation for violations of these rules.
24. Community Confidentiality
A private community is not the same thing as a legally privileged or confidential professional relationship.
While participants may be instructed to respect confidentiality, Kate Panfile LLC cannot guarantee that another participant will comply.
Do not disclose information in a group that you could not tolerate another participant seeing or retaining.
In professional communities, students and clients should be discussed only in accordance with applicable privacy laws, professional obligations, and community rules.
25. Recording of Programs and Events
Certain webinars, workshops, trainings, community calls, or group programs may be recorded.
When recording is planned, we will endeavor to provide reasonable notice.
Recordings may be made available to registered participants.
We will not intentionally use an identifiable participant's image, voice, personal experience, or contribution in public marketing merely because that individual attended a program unless we have an appropriate basis or permission to do so.
Participants may not independently record, screen-record, reproduce, or distribute paid sessions unless expressly permitted.
26. Testimonials
We may invite users or customers to provide testimonials, feedback, reviews, or success experiences.
Providing ordinary feedback does not automatically authorize us to turn personally identifiable information into an advertisement.
Where appropriate, we will seek permission before using an identifiable testimonial, photograph, video, or personal account for promotional purposes.
Testimonials represent individual experiences and do not guarantee that another person will achieve the same result.
27. Podcast and Guest Contributions
The Company may produce podcasts, interviews, webinars, livestreams, collaborative content, or guest presentations.
Guest views are their own and do not necessarily represent Kate Panfile LLC.
Separate guest releases or agreements may govern ownership and permitted use of recorded interviews, appearances, presentations, photographs, or other guest contributions.
28. Purchases
Prices are displayed at the time of purchase and may change without notice.
You agree to pay the price and applicable taxes presented at checkout.
Payments may be processed by Stripe or another authorized payment processor.
By submitting payment information, you represent that you are authorized to use the payment method provided.
29. Payment Plans
Certain products, programs, memberships, courses, mentorships, consulting packages, or other Services may be offered with a payment-plan option.
Unless the applicable offer expressly states otherwise, a payment plan is a method of paying the full purchase price over time. It is not a month-to-month subscription and does not create a right to cancel future installments simply because payments are charged monthly.
By selecting a payment plan, you agree to pay all installments according to the schedule disclosed to you at checkout or in the applicable enrollment agreement.
Failure to attend, participate in, complete, access, or use a purchased Service does not by itself cancel or reduce the remaining payment obligation.
If a payment fails, we may temporarily suspend access to the applicable Service while the account remains past due. We may also make reasonable attempts to collect amounts properly due under the purchase agreement.
Nothing in this section limits any non-waivable rights you may have under applicable consumer-protection law.
30. Refunds and Cancellations
Refund and cancellation terms may vary by product or Service.
The refund or cancellation policy presented on the applicable sales page, product listing, checkout page, enrollment page, proposal, agreement, or third-party marketplace at the time of purchase controls that transaction.
We aim to disclose applicable refund and cancellation terms before purchase so that you can make an informed decision.
Unless a product-specific policy states otherwise:
digital downloads that are delivered immediately may be non-refundable once access or delivery has occurred, except where required by applicable law;
courses, workshops, memberships, mentorships, consulting services, professional-development offerings, and other Services may have separate refund, cancellation, transfer, or withdrawal terms; and
products purchased through Etsy, Teachers Pay Teachers, or another third-party marketplace are also subject to applicable marketplace rules and policies.
If a product-specific policy expressly provides a refund period, satisfaction guarantee, cancellation window, or other remedy, that specific policy will govern.
If no refund policy is stated for a particular transaction, please contact us at support@katepanfile.com before purchasing if you need clarification.
Nothing in these Terms is intended to waive or restrict any right or remedy that cannot legally be waived under applicable federal, New Jersey, or other applicable consumer-protection law.
31. Cancellations of Payment Plans
For fixed-price programs purchased using a payment plan, cancellation of participation does not automatically cancel the remaining balance owed.
If the applicable purchase terms provide a specific cancellation right, withdrawal period, or early-termination option, those terms will control.
Where no such right is provided and the purchaser has received access to the purchased program or materials, the purchaser remains responsible for the agreed purchase price, subject to applicable law.
For true recurring subscriptions or memberships, cancellation rules will be disclosed separately and will govern future recurring charges.
32. Failed Payments
If a scheduled payment is declined or otherwise fails, we may:
notify you of the failed payment;
retry the authorized payment method where permitted;
request an updated payment method;
temporarily suspend access to the affected Service; and
pursue amounts properly due under the applicable purchase agreement.
We will not impose fees, penalties, or collection remedies that are prohibited by applicable law.
33. Chargebacks and Payment Disputes
If you believe you were charged incorrectly, please contact us first at support@katepanfile.com so that we can attempt to resolve the issue promptly.
Nothing in these Terms prohibits you from exercising a legitimate right to dispute a charge with your financial institution or payment processor.
However, knowingly submitting a false or fraudulent chargeback, including falsely claiming that an authorized purchase was unauthorized or that a delivered product or Service was never received, may constitute a breach of these Terms.
Where appropriate and permitted by law, we may provide transaction records, access records, communications, purchase terms, or other relevant documentation to Stripe, a bank, card network, marketplace, or other payment provider in response to a chargeback or payment dispute.
We reserve the right to suspend or refuse future purchases where there is a documented history of fraudulent payment activity.
34. Third-Party Payment Processors
Payments may be processed by Stripe or another third-party payment provider.
Your payment transaction may also be subject to the payment provider's terms and privacy practices.
Kate Panfile LLC is not responsible for independent decisions made by Stripe, a credit-card issuer, bank, marketplace, financing provider, or other third-party payment service, including account holds, transaction declines, processing delays, or separate fees imposed by that provider.
Use of a third-party payment or financing arrangement does not alter the price or payment obligation owed to Kate Panfile LLC unless expressly stated otherwise in writing.
35. Third-Party Marketplaces and Platforms
We may offer or deliver Content through third parties such as Etsy, Teachers Pay Teachers, social-media platforms, course platforms, podcast platforms, video providers, payment processors, or other technology services.
Those providers are independent third parties and may impose their own terms and policies.
We do not control and cannot guarantee:
continued availability of a third-party platform;
account access;
marketplace search placement;
algorithmic distribution;
platform functionality;
platform policies;
account suspensions;
technical outages; or
changes made by the provider.
Your use of those platforms remains subject to their applicable terms.
36. Links and Recommendations
Our Services may reference books, websites, social-media accounts, products, organizations, professionals, tools, research, or other external resources.
A reference or link does not necessarily constitute an endorsement.
Third-party information may change and we are not responsible for the accuracy, availability, policies, services, or Content of external providers.
You are responsible for conducting appropriate due diligence before relying upon or purchasing from a third party.
37. Affiliate Relationships and Sponsored Content
From time to time, we may receive compensation, commissions, products, discounts, or other benefits in connection with recommendations, affiliate links, sponsorships, or partnerships.
Where required, we will disclose material relationships in accordance with applicable law.
An affiliate relationship does not change our expectation that recommendations should reflect genuine professional or personal judgment.
38. Accounts and Passwords
Certain Services may require an account.
You are responsible for maintaining the confidentiality of your login information and for activity occurring through your account.
Accounts and login credentials may not be shared unless expressly authorized.
We may suspend access where we reasonably believe credentials have been shared, an account has been compromised, or these Terms have been violated.
39. Access Periods
Access to digital Content is not necessarily lifetime access.
The applicable product description will determine the period of access.
"Lifetime access," when expressly offered, refers to the period during which Kate Panfile LLC continues to maintain and make that particular product available, unless a different definition is expressly provided at purchase.
Users are responsible for downloading downloadable materials during the period in which they are available.
40. Changes to Products and Services
We may periodically update, revise, replace, reorganize, improve, discontinue, or change Services and Content.
Course modules, technology platforms, AI providers, resources, bonuses, interfaces, and delivery methods may evolve.
Where a paid offering has specific contractual commitments, those commitments remain subject to the applicable purchase agreement.
41. Availability and Technology
We do not guarantee uninterrupted access to websites, downloads, courses, communities, AI tools, or third-party platforms.
Services may occasionally be unavailable due to maintenance, outages, provider failures, security incidents, updates, or events beyond our control.
42. Termination of Access
We may suspend or terminate access to Services where a user materially violates these Terms, infringes our intellectual property, compromises another participant's privacy, shares credentials, engages in abusive conduct, misuses a community, commits fraud, or otherwise materially misuses the Services.
Termination for violation does not restore intellectual-property rights or licenses that have been revoked.
43. Security and Electronic Communications
Electronic communications inherently involve risk.
Although reasonable safeguards may be used, no internet transmission, email, video conference, cloud platform, AI provider, website, or electronic storage system can be guaranteed completely secure.
Do not send highly sensitive medical, educational, financial, or identifying records through ordinary email or general website forms unless specifically instructed to use an appropriate method.
44. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
KATE PANFILE LLC MAKES NO WARRANTY THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETE, CURRENT, SECURE, OR SUITABLE FOR EVERY USER OR SITUATION.
WE DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
45. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KATE PANFILE LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY LAW, KATE PANFILE LLC'S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID KATE PANFILE LLC FOR THAT PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.
These limitations do not apply where prohibited by law.
46. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Kate Panfile LLC and its owners, employees, contractors, and agents from third-party claims arising from:
your unlawful use of the Services;
your material violation of these Terms;
Content you submit without authorization;
infringement of another person's intellectual-property or privacy rights; or
your violation of applicable law.
47. Force Majeure
Kate Panfile LLC will not be responsible for delay or inability to perform caused by circumstances reasonably beyond our control, including natural disasters, severe illness or incapacity, widespread technology failures, government action, war, labor disputes, epidemics, pandemics, internet outages, or failures of critical third-party service providers.
Where practicable, we will make reasonable efforts to provide alternative arrangements for materially affected paid Services.
48. Governing Law
These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.
Any dispute not otherwise subject to a separate valid dispute-resolution agreement shall be brought in a court of competent jurisdiction in New Jersey, subject to applicable law.
49. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the greatest extent permitted by law and the remaining provisions will remain in effect.
50. No Waiver
Failure by Kate Panfile LLC to enforce a provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
51. No Partnership, Employment, or Agency Relationship
Use of the Services does not create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between you and Kate Panfile LLC.
52. Entire Agreement
These Terms, together with our Privacy Policy and any applicable product-specific agreement, purchase terms, proposal, license, or refund policy, constitute the agreement governing your use of the applicable Services.
